Terms of Service

2.1 Eligibility: You must be at least 18 years old to use Metric Duck.

2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access.

2.3 Accurate Information: You agree to provide accurate, current, and complete information during registration and keep it updated.

4.1 Subscription Plans: We offer Free, Starter ($10/mo), Pro ($20/mo), and Power ($40/mo) tiers. Annual billing receives a discount.

4.2 Billing: Paid plans are billed monthly or annually in advance via Stripe. You authorize us to charge your payment method.

4.3 Cancellation: You may cancel your subscription anytime. Access continues until the end of the current billing period.

4.4 Refunds: We do not offer refunds for partial months or unused quota. If you're unsatisfied, we encourage you to downgrade or cancel before the next billing cycle.

4.5 Price Changes: We reserve the right to change pricing with 30 days notice. Existing subscribers will be grandfathered for 6 months.

While we strive for accuracy, you acknowledge that:

• Data is sourced from SEC Edgar filings and may contain errors from the source
• We are not responsible for XBRL tagging errors made by companies
• Financial data is typically updated within 24-48 hours of filing (not real-time)
• Calculated metrics (ROIC, WACC, etc.) are provided "as-is" for informational purposes
• Our service is NOT investment advice — always conduct your own due diligence

6.1 Our Content: The Metric Duck platform, design, code, branding, and documentation are owned by us and protected by copyright and trademark laws.

6.2 Financial Data: Raw SEC filing data is public domain. Our calculated metrics, presentation, and analysis are proprietary.

6.3 License: We grant you a limited, non-exclusive, non-transferable license to use our service for personal or internal business purposes only.

7.1 Rate Limits: API usage is subject to rate limits based on your subscription tier (3,000-30,000 requests/month).

7.2 Attribution: If you display our data publicly, you must attribute Metric Duck and link to our service.

7.3 No Reselling: You may not resell, sublicense, or redistribute API data without an Enterprise agreement.

7.4 Monitoring: We monitor API usage to detect abuse. Excessive or suspicious usage may result in suspension.

We may suspend or terminate your account if:

• You violate these Terms of Service
• You engage in abusive or fraudulent behavior
• Your payment method fails (for paid accounts)
• We discontinue the service (with 60 days notice)

Upon termination, your access will be revoked and data exports will no longer be available.

9.1 "AS-IS" SERVICE: Metric Duck is provided "as-is" without warranties of any kind, express or implied. We do not guarantee accuracy, completeness, or reliability of data.

9.2 NOT INVESTMENT ADVICE: Our service is for informational purposes only. We are not financial advisors. Do not make investment decisions solely based on our data.

9.3 LIMITATION OF LIABILITY: Our liability is limited to the amount you paid us in the past 12 months. We are not liable for indirect, incidental, or consequential damages.

12.1 Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

12.2 Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
